Attorney Profile

Stacey Liao graduated from National ChengChi University with a bachelor's degree in accounting in 1997. After practicing as a CPA at KPMG audit department and Ernst & Young tax department for several years, she attended  law school and received an LLM degree at National Taiwan University and passed the bar examination in 2008.

 

Stacey is Partner at AY Commercial law Offices - Xinyi, overseeing corporate advisory legal services as well as merger and acquisition. Stacey possess good wealth of financial and legal practices experiences with focus on corporate structure and operations. During her legal practices, she handles several negotiations and contract drafting of companies’ M&A. Stacey also advised several famous companies on corporate restructurings to enhance synergies in their mergers and reorganizations. In addition to M&A laws and regulations, her legal practice has also specialized  in corporate law and security law since 2009. Prior to AY Commercial Law Offices - Xinyi, Stacey was vice president at Deloitte Taiwan Financial advisory department, handling in M&A and corporate restructuring.

Merger and acquisition between a financial institution and another financial institution in Southeast Asia.

 

Merger between an investment trust company and another investment trust company of an industrial bank.

 

Share conversion between CTBC Financial Holding and Taiwan Life Insurance Co., Ltd.

 

Corporate governance program of a listed company.

 

Legal due diligence for a well-known Chinese industrial investment fund when acquiring a technology company in Taiwan.

 

Acting as the defender for the case in which charges of non-arm's length transaction and breach of trust were pressed against Yuanta Securities' structured note trading.

 

Apply with the Ministry of Finance for explanation and provide taxation consulting regarding financial assets securitization and real estate securitization.
