【Attorney’s Bio】

Jerry started to practice law in 2004. He obtained his Master of Law degree from University of Minnesota and both of his master's degree in financial law and bachelor’s degree in judicial science from National Taipei University. He is currently a partner at the Firm.

Jerry studied under Dr. Lai YongZhao, an authoritative figure on securities trading law in Taiwan. He specializes in corporate law, securities and futures trading, M&A, equity transactions and offshore investments business. He has worked in the Securities and Futures Bureau, Taiwan's highest securities supervision and management authority, where he was responsible for reviewing the issuance of securities investment trust funds, the management of securities investment trust companies, the management of securities dealers, and the drafting and preparation of securities related decrees. He not only has experience in the operation of securities regulations but also is familiar with the management system of Taiwan's securities authorities. He has the excellent ability of combining the theory and practice of securities trading.

Jerry has been involved in M&A cases ever since he became a lawyer and has gained extensive experience in M&A and equity trading. He has handled M&A cases for a number of Taiwanese listed companies. Whether it is M&A structure design, scheduling, drafting, communication with authorities or procedural execution, Jerry can offer a complete legal services. He is also involved in a number of major cases which well-known foreign companies acquired Taiwanese companies or purchased stakes in Taiwanese companies, and has proven to have practical operational experience in the process of foreign investments in Taiwan and the flow of equity transactions.

Jerry has also worked with large financial institutions and has been involved in numerous cases of issuing GDR, overseas bond or bank syndicated loans. He is familiar with the operation of capital market legal cases, and can quickly and timely assist clients to successfully complete capital raising.

Jerry obtained a master’s degree from both the University of Minnesota and National Taipei University. He is capable of drafting, reviewing and handling legal documents in English and Mandarin fluently as well as communicating or negotiating with the client in both languages.

	Legal counsel of an M&A case between an international renowned plastics company and a Taiwanese company.
	Legal counsel to a Hong Kong's leading fund to acquire a listed Taiwanese company in traditional industry.
	Acted as legal counsel for the spinoff of a well-known listed Taiwanese construction company.
	Represented a construction industry (subordinate to a renowned listed construction company) to participate in the bidding for stakes in land and subsidiary of another Taiwanese listed company(estimated amount of NT$13.8 billion)
	Acted as legal counsel for the spinoff between a well-known telecommunication software company and Industrial Technology Research Institute in Taiwan
	Acted as legal counsel for the merger of a well-known trading and wholesales listed company.
	Acted as legal counsel for the reorganization of a well-known Japanese securities research institution.
	Acted as legal adviser in Taiwan for the GDR Issuance of a leading Taiwanese DRAM product manufacturing company.
	Represented as the legal counsel in Taiwan for the issuance of an overseas bond of an important overseas subsidiary of a well-known Taiwanese group (the bond was awarded the "Best Bond Issuance Deal in Taiwan").
	Acted as legal counsel for the share release of a well-known Taiwanese petroleum company.
	Acted as legal counsel for a syndicated loan of a listed Taiwanese company in semiconductor industry (total loan amount of NT$12 billion).
	Acted as legal counsel for a syndicated loan of a listed Taiwanese company in semiconductor industry (total loan amount of US$15 billion).
	Acted as legal advisor to an important syndicated loan of a well-known overseas subsidiary of a Taiwanese company (Total loan amount of US$1.95 billion).
	Participated in amending the Taiwan Securities Investment Trust and Consultant Act.
	Participated in revising the Regulations Governing Offshore Funds.
