【Attorney’s bio】

Hilde has a master's degree in public law from the Department of Law, National Taiwan University. She started her practice in law in 2003 and is the senior attorney at the Firm specializing in administrative litigation, tax litigation, financial law and M&A. She used to be an attorney for An-Yong Attorneys-at-Law (legal Department of Ernst& Young).

 

Cross-border M&A and capital markets are important areas of today's international legal market. Since her practice in law, Hilde has been involved in a number of major mergers and acquisitions and capital market legal services cases; she advised a Taiwanese listed company in semiconductor industry on the merger of another Taiwanese listed emerging company in semiconductor industry, represented a Malaysian listed company in the acquisition of more than 37% stakes of Taipei Financial Building Co., Ltd. (i.e. Taipei 101), represented a construction industry (affiliated with a Taiwanese listed company group) and participated in the bidding of the stakes in land and subsidiaries of a Taiwanese listed company. On the capital markets side, Hilde, among other cases, participated in the issuance of ADR of a Taiwanese listed company in semiconductor industry on NASDAQ, the issuance of GDR of a Taiwanese listed company in semiconductor industry in Luxembourg, and the issuance of US dollar bonds of a domestic group in traditional industry (the bond won the "Taiwan's best bond Issuance Trading Award").

 

Hilde has presented alongside with the chairman of the Taiwan Stock Exchange, Ernst & Young Taiwan, Ernst & Young Japan, and China Trust Securities during "Japan-based Business IPO in Taiwan" conference and gave a speech on the topic of "The key points for foreign companies to come to Taiwan for the first IPO and the second IPO". She has involved in the procedures of going public in Taiwan for foreign companies.

M&A

 

Acted as legal advisor to a well-known Malaysian listed company acquiring substantial Taiwanese public company (estimated value is approximately NT$20 billion)

 

Represented a construction industry company (affiliated to a listed Taiwanese company group) to participate in the bidding of the stakes in land and subsidiary of a listed Taiwanese company (the estimated amount is NT$13.8 billion)

 

Represented a Spanish petroleum company to acquire approximately 70% of the stakes of a Taiwanese petrochemical company (estimated value exceeds NT$2 billion)

 

Represented a Taiwanese company to acquire shares of several Taiwanese record publishing companies (approximately NT$400 million in purchases and sales)

 

Advised a Taiwanese listed company in semiconductor industry to merge with another Taiwanese listed emerging company in semiconductor industry and provided consultation in corporate mergers and acquisitions and legal advice on fair trade (estimated amount of NT$100 million)

Capital Market Sector

 

Served as the legal counsel in Taiwan for a well-known integrated financial services company for its IPO in Hong Kong (2018)

 

Participated in the ADR issuance of a Taiwanese listed company in semiconductor industry on NYSE

 

Served as the legal counsel in Taiwan of the GDR issuance of a well-known Taiwanese DRAM product manufacturing company

 

Acted as legal counsel for the share release of a well-known Taiwanese petroleum company (twice in total with the raised capital of approximately NT$18 billion)

 

Acted as legal counsel for a Taiwanese group in traditional industry to issue a US dollar bond (the bond was awarded the "Best Bond Issuance Deal Award in Taiwan")

Acted as legal adviser to an important syndicated loan of a important overseas subsidiary of a well-known Taiwanese group (total loan amount of US$2.1 billion)

 

Acted as legal counsel to a syndicated loan of a listed Taiwanese company in semiconductor industry (total loan amount of NT$12 billion)

 

Acted as legal counsel to a syndicated loan of a listed Taiwanese company in semiconductor industry (total loan amount of NT$15 billion)

 

 

Acted as legal counsel to a syndicated loan of a Vietnamese manufacturing company and a power plant (total loan amount of NT$140 million)

 

Acted as legal counsel to a syndicated loan of a co-funded offshore company by several listed Taiwanese companies (total loan amount of NT$1.5 billion)
